Fernando Velez, Jr. specializes in
corporate, business
and real estate law. His experience
ranges from representing individuals, small businesses to
representing large publicly-traded corporations in many diverse
industries, with an emphasis on securities, venture capital,
mergers and acquisitions, joint ventures, business start-ups and
real estate syndications.
Prior to joining Reicker, Pfau, Pyle &
McRoy, Fernando practiced at Rogers, Sheffield & Campbell and
prior to that was corporate counsel and corporate secretary for
Fidelity National Financial (NYSE: FNF), and its two
majority-owned public subsidiaries, Fidelity National
Information Solutions (Nasdaq: FNIS) and American National
Financial (Nasdaq: ANFI), where he was responsible for all
securities matters, mergers and acquisitions, and legal
compliance for hundreds of subsidiaries in all fifty states.
Fernando has structured, negotiated, and
closed a variety of transactions from both buy-side and
sell-side, including public securities offerings, public debt
offerings, tender offers, distressed company acquisitions and
sales, going private transactions, and other transactions
ranging from small commercial lease arrangements to billion
dollar acquisitions. He has extensive experience with private
offerings of securities, including private placements with
venture firms, angel investors, and strategic partners. He also
assists clients with their day to day legal issues, including
choice of entity selection, capitalization, employee issues,
real property matters, financing, and strategic arrangements.
Fernando attended the University of
California at Berkeley and graduated with a B.A. in 1991.
He studied law at the University of Berkeley School of Law (Boalt
Hall) and received his J.D. in 1994 and was admitted into the
California Bar.
Fernando is an active member of the Santa
Barbara community, and currently serves on the board of
directors of the
Scholarship Foundation of Santa Barbara.
